What "Delinquent" costs you, right now:
- You can't obtain a certificate of good standing (needed for loans, contracts, leases)
- Lenders, landlords and licensing boards check entity status -- a delinquent record stalls financing, leases and renewals
- After enough time delinquent, the Secretary of State can administratively dissolve the entity outright
This entity is in good standing -- nothing is wrong with it. We still prepare and file a voluntary dissolution or reinstatement exactly the same way; the paperwork and state process are the same either way.
What would you like to do?
Step 2 — A Few Required Details
Your state's Secretary of State requires these on every filing.
Before you dissolve: dissolving stops future reports and fees from accruing. It does not erase anything already owed to the state -- those amounts are still due, and any tax filings the business owes remain the owners' responsibility.
Step 3 — Authorization
Before anything is filed, we send a notice of the request to the entity's address of record with the state and wait 48 hours. If you're the owner, nothing more is needed from you — it's how we make sure nobody can dissolve a business that isn't theirs.
Step 4 — Review & Pay
